Terms of Service

1. Agreement
These Terms of Service ("Terms") form a binding agreement between you or the entity you represent ("Customer", "you") and SecureWise AI ("SecureWise", "we"). By accessing or using the SecureWise AI platform, applications, APIs, and related services (the "Services"), you agree to these Terms. If you do not agree, do not use the Services.
2. Accounts & Eligibility
You must be at least 16 years old and legally able to enter contracts. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized access at security@securewise.io.
3. Subscription, Fees & Trials
Paid plans are billed in advance on the interval you select. Fees are non-refundable except where required by law. Free trials may be offered and convert to paid plans unless cancelled before the trial ends. We may change pricing with at least 30 days' notice for the next renewal term.
4. Acceptable Use
You will not, and will not permit others to: (a) reverse engineer or attempt to extract source code except as permitted by law; (b) use the Services to violate law, infringe rights, or transmit malicious code; (c) interfere with the Services' integrity, performance, or security; (d) resell the Services without written permission; or (e) submit content you do not have the right to submit.
5. Customer Data & AI Features
You retain all rights in the data, controls, policies, evidence, and other content you submit to the Services ("Customer Data"). You grant SecureWise a limited license to host, process, transmit, and display Customer Data solely to provide, secure, and improve the Services. AI-assisted features process Customer Data via subprocessor AI models to generate outputs for your workspace; we do not use Customer Data to train third-party foundation models.
6. Confidentiality
Each party will protect the other's Confidential Information using at least the same degree of care it uses for its own similar information (and no less than reasonable care). Confidential Information may be disclosed as required by law with prompt notice where legally permitted.
7. Security & Compliance
We maintain administrative, technical, and organizational safeguards designed to protect Customer Data. Details of current safeguards are described on our Security page. A Data Processing Addendum (DPA) is available upon request at privacy@securewise.io.
8. Third-Party Services
The Services may integrate with third-party products (e.g., identity providers, storage, AI models). Your use of those products is governed by their own terms, and SecureWise is not responsible for third-party services.
9. Intellectual Property
SecureWise and its licensors own all rights in the Services, including software, templates, benchmarks, and content we provide. Feedback you submit may be used without restriction or compensation.
10. Warranties & Disclaimers
The Services are provided "as is" and "as available." To the maximum extent permitted by law, SecureWise disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. SecureWise does not warrant that the Services will be error-free, uninterrupted, or that AI outputs will be accurate; you are responsible for reviewing AI outputs before relying on them for compliance or regulatory decisions.
11. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, or data. Each party's aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable by Customer to SecureWise in the 12 months preceding the event giving rise to liability.
12. Indemnification
Customer will defend and indemnify SecureWise against third-party claims arising from Customer Data or Customer's misuse of the Services. SecureWise will defend and indemnify Customer against third-party claims that the Services, when used as permitted, infringe such third party's intellectual property rights.
13. Term & Termination
These Terms remain in effect while you use the Services. Either party may terminate for material breach not cured within 30 days of written notice. Upon termination, your access ceases and Customer Data is deleted within 30 days, subject to legal retention obligations.
14. Changes
We may modify these Terms from time to time. Material changes will be notified via the Services or by email. Continued use after the effective date constitutes acceptance.
15. Governing Law
These Terms are governed by the laws of the jurisdiction where SecureWise AI is incorporated, without regard to conflicts of law rules. Disputes will be resolved in the competent courts of that jurisdiction, unless mandatory local law provides otherwise.
