Terms of Service

1. Who you are contracting with

These Terms of Service ("Terms") form a binding agreement between you, or the organization you represent ("Customer", "you"), and Securewise GRC LTD, a company registered in Jamaica, trading as "SecureWise AI" ("SecureWise", "we", "us"). By accessing or using the SecureWise AI platform, website, applications, APIs, and related services (the "Services"), you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree, do not use the Services.

2. Accounts & eligibility

You must be at least 16 years old and legally able to enter contracts. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us promptly of any unauthorized access at security@securewise.io.

3. Payments, subscriptions & Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, currency conversion, tax collection, invoicing, and payment method handling are governed by the Paddle Checkout Buyer Terms. Paid plans are offered on monthly or annual subscription terms and renew automatically at the end of each billing period until cancelled. You can cancel or manage your subscription at any time from your billing settings or via paddle.net. Fees are charged in advance for the applicable billing period. We may change pricing with at least 30 days' notice before the next renewal term.

4. Refunds

We offer a 30-day money-back guarantee. Full details, including how to request a refund via Paddle, are set out in our Refund Policy.

5. Free trials

Where offered, free trials give you time-limited access to paid features. Unless you cancel before the trial ends, the subscription will convert to a paid plan on the payment method you provided at checkout.

6. Acceptable use

You will not, and will not permit others to: (a) use the Services for unlawful, fraudulent, deceptive, or infringing purposes, or to transmit spam, malware, or other malicious code; (b) infringe intellectual property, privacy, or other rights of any person; (c) interfere with, probe, scan, disrupt, or attempt to circumvent the security, integrity, or performance of the Services; (d) reverse engineer, decompile, or extract source code except as permitted by law; (e) resell, sublicense, or redistribute the Services without our written permission; (f) submit content you do not have the right to submit; or (g) use the Services to build a competing product.

7. Customer Data & workspace content

You retain all rights in the data, controls, policies, evidence, questionnaire responses, and other content you submit to the Services ("Customer Data"). You grant SecureWise a limited, non-exclusive, worldwide license to host, process, transmit, and display Customer Data solely to provide, secure, support, and improve the Services for you.

8. AI features & responsible use

The Services include generative AI features (e.g., the compliance assistant, AI-generated gap analysis, policy drafting, and evidence scanning) that process Customer Data via third-party AI model providers to produce outputs in your workspace. You acknowledge and agree that:
  • You are responsible for your prompts and inputs, for how you use AI outputs, and for verifying the accuracy and legal, regulatory, and factual suitability of any output before relying on it.
  • You must have the necessary rights and permissions to submit any Customer Data you provide as input to AI features.
  • You will not use AI features to generate content that is illegal, harmful, deceptive, hateful, sexually exploitative, defamatory, or that facilitates fraud, malware, or the circumvention of legal or platform controls.
  • AI outputs may be inaccurate, incomplete, or out of date, and are not a substitute for professional legal, audit, security, or regulatory advice. You should apply human review and expert judgment before acting on any AI output for compliance, audit, or regulatory purposes.
  • We may remove, restrict, or refuse to generate outputs, and may suspend accounts that violate this section or applicable law.
  • If you believe an AI output infringes your rights, contact legal@securewise.io with sufficient detail to identify the content. We may take down infringing content and terminate repeat infringers.

9. Intellectual property

SecureWise and its licensors own all rights in the Services, including the software, templates, benchmarks, and content we provide. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Services within the plan you have subscribed to. Feedback you submit may be used by SecureWise without restriction or compensation.

10. Third-party services

The Services may integrate with third-party products (e.g., identity providers, storage, AI models, payment processing). Your use of those products is governed by their own terms, and SecureWise is not responsible for them.

11. Security & data protection

We maintain administrative, technical, and organizational safeguards designed to protect Customer Data. Details are described on our Security page. A Data Processing Addendum (DPA) is available upon request at privacy@securewise.io.

12. Warranties & disclaimers

The Services are provided "as is" and "as available". To the maximum extent permitted by law, SecureWise disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that AI outputs will be accurate.

13. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, or data. Each party's aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable by Customer to SecureWise in the 12 months preceding the event giving rise to liability. Nothing in these Terms limits liability for fraud, willful misconduct, death, or personal injury caused by negligence, or any other liability that cannot be limited by law.

14. Indemnification

You will defend and indemnify SecureWise against third-party claims arising from your Customer Data, your use of AI outputs, or your misuse of the Services in breach of these Terms.

15. Suspension & termination

We may suspend or terminate your access to the Services, in whole or in part, for: (a) material breach of these Terms not cured within 30 days of written notice; (b) non-payment of fees; (c) suspected fraud or a material security risk to the Services or other customers; or (d) repeated or serious violations of Section 6 or Section 8. You may terminate your subscription at any time via billing settings or paddle.net. Upon termination, your access ceases and Customer Data is deleted within 30 days, subject to legal retention obligations. You may request an export of your workspace content before deletion.

16. Changes

We may modify these Terms from time to time. Material changes will be notified via the Services or by email. Continued use after the effective date constitutes acceptance.

17. Governing law & dispute resolution

These Terms are governed by the laws of Jamaica, without regard to its conflicts of law rules. The parties submit to the exclusive jurisdiction of the courts of Jamaica for the resolution of any dispute arising out of or relating to these Terms, unless mandatory local law provides otherwise.

18. Assignment & force majeure

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
